Welcome to EZ PIN. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “Reseller,” or “User”) and EZ PIN Inc. (“EZ PIN,” “we,” “us,” or “our”).

These Terms govern your access to and use of the EZ PIN website, API, mobile applications, wholesale distribution services, and any related online services (collectively, the “Services”), including any publicly available areas of our website.

By accessing or using our website, registering for an account, accessing our API, or purchasing products, you confirm that you have read, understood, and agree to be bound by these Terms. Please read these Terms carefully before using our Services.

1. Corporate Information and Eligibility

EZ PIN operates globally with primary offices in San Diego, USA and Dubai, UAE. To use our Services, you must:

  • Be a registered business entity or an individual of legal age, 18 years or older, capable of forming a binding contract.
  • Comply with our Due Diligence and AML Policy by providing accurate business verification documents.
  • Not be located in any country subject to applicable U.S., UAE, or international sanctions restrictions.

2. Account Registration and Security

Access to our B2B portal and API requires a registered account. You are responsible for:

  • Maintaining the confidentiality of your login credentials, API tokens, and client secrets.
  • All activities that occur under your account, including orders placed by your sub-accounts or employees.
  • Notifying EZ PIN immediately of any unauthorized access or security breach.

3. Orders, Wallet and Payments

EZ PIN operates on a prepaid wallet system unless otherwise agreed in a separate written contract.

  • Wallet Top-up: Orders are processed against your wallet balance. You must ensure sufficient funds are available before placing an order via portal or API.
  • Currency Exchange: If you purchase a product in a currency different from your wallet currency. EZ PIN will apply an applicable exchange rate at the time of transaction. Rates are dynamic and may be available through our /exchange_rates/ API endpoint.
  • Pricing: Product prices, discounts, availability, and exchange rates are subject to change without notice based on market conditions, provider terms, or other operational factors.

4. Digital Products and API Usage

  • Instant Delivery: Digital codes are delivered upon successful API response or portal checkout, unless otherwise stated for the relevant product.
  • No Refunds: Due to the irrevocable nature of digital goods, all sales of digital codes are final and non-refundable once delivered, except where required by applicable law or explicitly stated in our Refund Policy.
  • Pre-Orders: For products marked as “Pre-Order” in the catalog, delivery may take up to 3 business days. You acknowledge that immediate delivery is not guaranteed for these specific items.
  • API License: We grant you a limited, non-exclusive, non-transferable license to use the EZ PIN API for legitimate business purposes. Any attempt to flood, disrupt, misuse, reverse-engineer, or gain unauthorized access to the API may result in immediate account suspension or termination.

5. Physical Products and Shipping

For purchases of POS machines, kiosks, or physical gift cards:

  • Title and Risk: Risk of loss passes to you upon our delivery of the item purchased to the carrier.
  • Shipping Timelines: Delivery estimates, typically three (3) business days, are not guaranteed. EZ PIN is not liable for delays caused by customs, carriers, incorrect shipping information, or circumstances beyond EZ PIN’s reasonable control.
  • Warranty: Hardware devices are subject to the applicable manufacturer’s warranty terms.

6. Prohibited Activities

You agree not to use EZ PIN Services for:

  • Money laundering, terrorist financing, sanctions evasion, fraud, or any unlawful activity.
  • Reselling codes on marketplaces or platforms where such resale is prohibited.
  • Using stolen credit cards or other unauthorized or fraudulent payment methods to top up wallets or purchase products.
  • Misusing, manipulating, or attempting to bypass brand, provider, or platform restrictions.
  • Any activity that violates applicable laws, these Terms, our policies, or third-party brand/provider terms.

7. Intellectual Property

The EZ PIN platform, website, API documentation, software, trademarks, logos, content, and related materials are the exclusive property of EZ PIN.

Third-party brand names, logos, and trademarks displayed in our catalog, including brands such as Apple, Amazon, or PlayStation, are the property of their respective owners and are used solely to identify or describe the products available for sale. Such use does not imply endorsement, sponsorship, or affiliation unless expressly stated.

8. Website and Catalog Information

Information displayed on our website, catalog, portal, or API, including product descriptions, availability, pricing, discounts, region restrictions, and delivery estimates, is provided for general information and operational purposes. While EZ PIN takes reasonable steps to keep such information accurate and up to date, we do not guarantee that all content will always be complete, accurate, current, or error-free. Product availability, pricing, and provider terms may change without notice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, EZ PIN shall not be liable for:

  • Any indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, business, goodwill, or data.
  • Service interruptions, API downtime, technical errors, or delays caused by third-party providers, networks, systems, or circumstances beyond EZ PIN’s reasonable control.
  • Issues arising from an end-user’s inability to redeem or use a product due to brand-specific restrictions, regional limitations, account restrictions, or failure to comply with applicable product terms.
  • Any misuse, resale, unauthorized distribution, or improper handling of digital codes by the Client, Reseller, User, or their customers.

10. Termination

EZ PIN reserves the right to suspend, restrict, or terminate your account immediately if:

  • You breach these Terms or our Due Diligence and AML Policy.
  • Your account remains inactive for a prolonged period, as determined by EZ PIN in accordance with its account management practices and our Compliance Policy.
  • We detect suspicious, fraudulent, unlawful, or high-risk activity associated with your account, wallet, API access, or transactions.
  • Continued access to the Services may expose EZ PIN to legal, regulatory, sanctions, fraud, security, or provider-related risk.

11. Separate Written Agreements

If you enter into a separate written agreement with EZ PIN, that agreement will govern the relevant Services, purchases, pricing, or commercial relationship to the extent of any conflict with these Terms.

12. Governing Law and Dispute Resolution

  • For U.S. Clients: These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of San Diego, California.
  • For International/MENA Clients: These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of Dubai, UAE.
